These terms and conditions (“Terms”) govern the ‘Product & Customer Offers’ listed above (each, an “Offer”, and collectively, the “Offers”) from Themis Solutions Inc. DBA Clio and its affiliates (“Clio”). By accepting an Offer, you agree to be bound by these Terms and the terms specific to that Offer as described in the Product & Customer Offers table above. These Terms supplement the Clio North American Terms of Service and/or any other Clio Terms of Service specific to your region (collectively, the “ToS”) which govern your use of Clio products and services. In the event of conflict between these Terms and the ToS, these Terms will prevail, but only with respect to matters specifically related to the Offers.

Eligibility Requirements

To qualify as an “Eligible Subscriber” for an Offer, in addition to meeting the criteria set-out above under the relevant Offer Terms, you must meet ALL of the following criteria:

• Good standing: Current with all payment obligations and otherwise compliant with all obligations under the ToS (for existing customers only)
• Primary subscribers: Only primary subscribers may activate an Offer
• First-time user: Other than in respect of Clio Payments and Clio File, you have not previously subscribed to or used the specific Clio product subject to the Offer at any time prior to the acceptance of the Offer
• Activation deadline: Complete the product activation before Offer Period ends. Activations after this deadline will not be honoured 
• Clio ToS: Accept the relevant Clio ToS upon activation
• Age & Location: Purchasers must: (1) reside in the jurisdictions specified under “Availability” in the table above; and (2) meet the minimum age requirement for their jurisdiction (e.g. 21 for the US, and 18 for Canada). Business representatives must be of legal contracting age in their applicable jurisdiction.

Note: Product-specific eligibility requirements apply in addition to these general requirements. Please refer to the Product & Customer Offers table for details.

Discount Application 

Discounts are applied according to subscription type: monthly subscribers receive the discount across consecutive billing cycles (12 months for Draft), while annual subscribers receive the equivalent discount over the same time period. When billing cycles span multiple invoices, the total discount will average to 25% across the full promotional period. After the promotional period ends, standard pricing will automatically apply to your subscription without further notice.

Offer Acceptance

To activate the relevant Offer: 

• Clio Draft: To accept these Offers you must complete your purchase and activation of the service through a Clio Sales Representative during the Offer Period

General Terms

• You must be an Eligible Subscriber and have accepted the Offer pursuant to the Offer Acceptance requirements, as determined by Clio in its sole discretion.
• The Offer is for Eligible Subscribers only, is limited to one redemption per Eligible Subscriber, may not be substituted, and may not be transferred to any other person.
• Activations made prior to, or after, the Offer Period, will not be eligible for the Offer.
• The Offers are a one-time offer only and there will be no such offers for any renewal terms of the relevant product. For certainty, Clio has no obligation to offer any other fee waivers, discounts or credits at any point.
• Purchase necessary. Offers for the same product cannot be combined with any other promotion, discount or offer unless expressly permitted by Clio in writing.
• In the event of a dispute, Clio is the sole authority on determining eligibility for the Offers.
• Misrepresentation or abuse will result in disqualification at Clio’s sole discretion. Clio is not liable for any loss or damage resulting from participation in or acceptance of an Offer, or inability to claim an Offer due to technical issues.
• All federal, state, provincial, and local taxes and any expenses not specified herein are your sole responsibility.
• BY ACCEPTING AN OFFER, YOU WAIVE ALL RIGHTS TO BRING (AND COVENANT NOT TO BRING) ANY CLAIM AGAINST CLIO OR ANY OTHERS ASSOCIATED WITH THIS OFFER INCLUDING BUT NOT LIMITED TO CLAIMS RELATED TO ELIGIBILITY, DISCOUNT APPLICATION, OR OFFER FULFILLMENT. YOU FURTHER AGREE TO RELEASE AND HOLD HARMLESS CLIO FROM ANY AND ALL LIABILITY ARISING FROM YOUR ACCEPTANCE OF THE OFFER, OR CLIO’s USE OF ANY OF YOUR INFORMATION IN CONNECTION HEREWITH.
• Clio reserves the right to modify these Terms at any time or to terminate any Offer without notice. Changes will be communicated in writing as applicable, including by posting revised Terms.
• These Terms are governed by the laws of British Columbia, Canada without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in accordance with the dispute resolution provisions in the ToS.
• The Offers are subject to all applicable federal, state, provincial, and local laws and regulations and are void where prohibited or restricted by law. Any term that conflicts with local law is void and unenforceable to the extent of such conflict.
